Whistleblower Channel
We prioritize ethics as a primary guideline in all our relationships. Therefore, truthful and honest information and care for the ethical conduct of our employees, partners, third parties, and customers are always valued.
Ethical behavior is everyone’s duty, and any evidence of wrongdoing or proven violation of principles that violate the guidelines of our Code of Ethics and Professional Conduct must be reported, either anonymously or identified, through this Whistleblower Channel. Furthermore, through this channel, we will provide support, shelter, and assistance, through a team properly trained for this purpose, for employees who feel threatened or who are victims of domestic and family violence, ensuring confidentiality.
Our Whistleblower Channel allows the whistleblower to remain anonymous. The information recorded will be received by an independent, specialized company, ensuring absolute confidentiality and the appropriate handling of each situation by our Ethics Committee, without conflicts of interest. In addition to protecting your identity and treating the entire case confidentially, we do not tolerate any type of retaliation against a good-faith whistleblower.

Compliance – Integrity
The Integrity Program is an important mechanism for prevention and sanctioning of employees, executives, or third parties within the corporate environment, particularly regarding fraudulent or corrupt acts involving public administration.
It is a set of internal mechanisms and procedures involving integrity, auditing, reporting of irregularities, and effective application of codes of ethics and conduct, policies, and guidelines aimed at detecting and addressing misconduct, fraud, irregularities, and illegal acts against public administration — domestic or foreign.

AML/CFT – Anti-Money Laundering and Counter-Terrorism Financing
Born in Minas Gerais with the mission to inspire the conscious use of financial solutions, Banco SEMEAR recognizes the key role of financial institutions in preventing and combating illicit activities, especially money laundering and terrorism financing.
Money laundering consists of concealing or disguising the nature, origin, location, disposition, movement, or ownership of assets, rights, or values derived, directly or indirectly, from criminal offenses.
The challenge lies in monitoring, identifying, and repressing increasingly sophisticated operations that attempt to hide the nature, origin, or movement of illicit assets.
SEMEAR has developed an internal policy to prevent and mitigate involvement in illicit acts, protecting its reputation and image before employees, clients, strategic partners, suppliers, service providers, regulators, and society. This is achieved through a governance structure focused on transparency, strict compliance with regulations, and cooperation with law enforcement and judicial authorities — while remaining aligned with international best practices.

Internal Controls
The execution of adequate and reliable controls is a responsibility shared by all employees. Following the three lines of defense model, we support all areas in mitigating existing risks. Internal guidelines are defined and approved by the Board of Directors and disseminated through formal regulations.
Internal Audit
Internal Audit procedures are carried out with full independence and transparency, in accordance with a plan previously approved by the Board of Directors.
Activities may be adjusted depending on process complexity, availability of information required for testing, new business initiatives, and specific demands from the Institution.
Any action that compromises audit independence is strictly prohibited.
Reporting Channel
